Milan‑based Bending Spoons is poised to acquire AI‑first collaboration platform Miro for $1.355 billion in an all‑cash transaction, a move that could reshape the enterprise collaboration market.

Under the definitive agreement, Bending Spoons will pay the full cash price and a group of Miro shareholders will use $295 million of the proceeds to purchase newly issued Bending Spoons shares, increasing the buyer’s stake in the combined entity. Miro, founded fifteen years ago, has grown into an AI‑powered innovation workspace that serves more than 100 million users and 250,000 customers worldwide. Miro’s ARR sits at roughly $600 million, the bulk of which comes from business and enterprise customers.

Recent acquisitions include Airtable, a cloud collaboration platform used by more than 500,000 organizations, and earlier holdings such as AOL, Brightcove, Eventbrite, Evernote, Tractive, Vimeo, and WeTransfer. The acquisition follows Bending Spoons’ recent completion of its $1.285 billion purchase of Airtable, further expanding its presence in the collaboration‑software market. The company’s IPO, which raised $1.68 billion at $29 per share, gave it a market capitalization of roughly $8 billion.

Miro’s product is positioned as an AI‑innovation workspace that integrates AI tools directly into a shared canvas, allowing teams to plan, co‑create, and deliver projects faster. The platform’s AI features include summarizing workshops, organizing ideas, and suggesting next actions, all designed to keep teams in the flow of work.
