BiomX Acquires 10% Stake in Motomea, Secures Exclusive Drone Testing License
Motomea, formerly MEA Testing Systems, has operated for more than 25 years in the aerospace, automotive, industrial, energy and transportation sectors. Its patented inertial dynamometer system (IDS) and regenerative dynamometer system (RDS) allow motor performance to be measured under load‑free and energy‑recovery conditions, respectively. The company’s test platforms record torque, power, efficiency, temperature, vibration and electrical characteristics across a range of speeds and loads, providing data that supports design, production, quality control and final acceptance before a motor is integrated into a vehicle or aircraft.
Electric propulsion is a key component of unmanned aerial systems (UAS). Variations in motor performance can reduce flight endurance, destabilize flight, and increase the risk of failure. By adding Motomea’s testing expertise to its portfolio, BiomX aims to strengthen its ability to support integrated defense systems that rely on accurate detection, analysis and response to physical threats. “Motomea brings BiomX a highly specialized engineering capability in an area that is central to modern unmanned systems,” said Michael Oster, BiomX CEO. “Its expertise in testing and validating electric propulsion complements the technologies already within our portfolio and expands our technical capabilities across our Detection, Analysis and Response strategy.”
The option to acquire a controlling interest in Motomea is exercisable at BiomX’s discretion. If exercised, the purchase price would be a combination of shares and cash, calculated as 90 percent of either (i) two times Motomea’s net revenue for the fiscal year ending December 31, 2027, or (ii) four times Motomea’s EBITDA for the fiscal year ending December 31, 2028, based on audited financial statements. The option’s exercise would be contingent on successful due‑diligence results.
Motomea’s CEO Moshe Goldbaum said the partnership would allow the company to apply its motor‑testing experience to the rapidly growing electric‑propulsion market for drones, UAVs and next‑generation aircraft. “Reliable propulsion begins with rigorous engineering, measurement and validation,” Goldbaum said. “Our systems help customers understand precisely how motors perform before they are integrated into an aircraft, providing a strong complement to BiomX’s existing capabilities.”
The collaboration is expected to focus on drone motor testing, leveraging Motomea’s existing customer base that includes major Israeli defense OEMs and international civilian manufacturers. Motomea’s presence in the Indian subcontinent also provides BiomX with a foothold in a market where it seeks to expand.
BiomX’s portfolio is built around the growing need for earlier and more accurate threat detection as unmanned systems become more prevalent in defense and homeland‑security roles. The company’s strategy includes acquiring and developing technologies that identify, track and counter physical threats. The addition of Motomea’s testing systems is intended to enhance BiomX’s ability to evaluate and validate aerial technologies, thereby strengthening the link between its AI‑powered detection, analysis and response capabilities.
The deal was announced through a press release issued by BiomX on August 5, 2026. No regulatory filings or court actions have been reported. The transaction is subject to NYSE American approval and the completion of due diligence. BiomX has not yet disclosed any further financial details beyond the cash payment and share issuance.
As of the announcement, BiomX remains a publicly traded company on NYSE American under the ticker PHGE. Motomea continues to operate as an independent entity, with its headquarters in Israel and a manufacturing presence in India. The partnership marks a step toward integrating advanced motor testing into the broader defense technology ecosystem, potentially influencing future UAV development and deployment.
